These Terms and Conditions ("Terms") govern your access to and use of the Omnium Agent X service ("Service"), operated by Omnium Hub LLC ("we," "us," or "our"), including the website at www.omniumhub.com and https://agentx.omniumhub.com ("Site").
The Service is an AI-powered assistant that automates responses, captures leads, books calls, and nurtures funnels across platforms such as websites, Facebook, Instagram, and WhatsApp.
By accessing or using the Site or Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Site or Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements. The Service is not intended for use by children under 13 (or 16 in some jurisdictions).
2. Account Registration and Responsibility
Registration: To use the Service, you must create an account by providing accurate information, including your name, email, phone number, and business details (e.g., brand tone, offer, links). You agree to keep this information updated.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
Business Use: The Service is designed for business purposes. You are responsible for ensuring that your use complies with all applicable laws and regulations, including obtaining consents from your end-users for data processing (e.g., chats on your platforms).
3. Service Description and Features
The Service provides an AI-powered assistant powered by third-party AI models (e.g., ChatGPT by OpenAI, Grok by xAI, Claude by Anthropic) to:
Respond to messages on your website, Facebook, Instagram, and WhatsApp.
Capture leads, book calls, and integrate with CRMs and calendars (e.g., Google Calendar).
Provide analytics and tracking via a dashboard.
Offer optional voice AI (add-on) and API functionality.
Features include a 14-day free trial (no credit card required), easy setup with a code snippet, and integration with third-party platforms. We may update or modify features at our discretion to improve the Service.
4. Subscription
You have 60-day money-back guarantee.
Subscription: the Service costs $39/month for the first 100 license holders (early access pricing). After reaching 100 users, the price will increase to $99/month. Early access subscribers are grandfathered at $39/month for as long as their subscription remains active.
Payment: Subscriptions are billed monthly via third-party payment processors. You authorize us to charge the applicable fees. All payments are non-refundable except as required by law.
Cancellation: You may cancel your subscription at any time by emailing [email protected] with your registered email, phone, and name. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are provided.
Price Changes: We may modify subscription fees with 30 days' notice. Changes do not affect grandfathered early access pricing unless your subscription lapses.
5. License and Usage
License: We grant you a non-exclusive, non-transferable, revocable license to use the Service for your business purposes, subject to these Terms.
Restrictions: You may not:
Reverse engineer, decompile, or attempt to access the Service’s source code.
Use the Service to violate laws, send spam, or engage in harmful activities.
Share, resell, or sublicense the Service without our written consent.
Interfere with the Service’s functionality or security.
Your Content: You retain ownership of data you provide (e.g., prompts, business details). You grant us a worldwide, non-exclusive license to use, process, and display this data to provide the Service.
6. Third-Party Integrations
The Service integrates with third-party platforms (e.g., OpenAI, xAI, Anthropic, Facebook, WhatsApp, CRMs, Google Calendar). You are responsible for:
Complying with the terms of these platforms.
Obtaining necessary consents from your end-users for data processing.
Configuring integrations correctly. We are not liable for issues arising from third-party platforms, including downtime or data handling.
7. Intellectual Property
Our IP: The Service, Site, and all related software, designs, and trademarks are owned by or licensed to Omnium Hub LLC. You may not copy, modify, or distribute them without our permission.
Feedback: If you provide feedback or suggestions, we may use them without obligation or compensation to you.
8. Data and Privacy
Our Privacy Policy (available at https://agentx.omniumhub.com) governs how we collect, use, and protect your personal information and your end-users’ data. You agree to:

Obtain necessary consents from your end-users for data processing by the Service.
Indemnify us for any claims arising from your failure to comply with privacy laws.
To delete your account data, email [email protected] with your registered email, phone, and name. We will process valid requests promptly, subject to legal obligations.
9. Termination
By You: You may terminate your account by canceling your subscription as described above.
By Us: We may suspend or terminate your access if you:
Violate these Terms.
Fail to pay subscription fees.
Engage in activities that harm the Service or others.
Effect of Termination: Upon termination, your access to the Service ends, and we may delete your account data (except as required by law).
Sections 7, 8, 10, 11, 12, and 14 survive termination.
10. Disclaimers
As-Is: The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Performance: We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific needs. AI responses may not always be accurate or appropriate.
Third Parties: We are not responsible for third-party services or their actions, including AI providers or integrated platforms.
11. Limitation of Liability
To the maximum extent permitted by law:
Our total liability for any claims arising from the Service or these Terms is limited to the amount you paid us in the 12 months prior to the claim.
We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, data, or business opportunities, even if advised of the possibility.
These limitations apply regardless of the legal theory (contract, tort, or otherwise).
12. Indemnification
You agree to indemnify and hold us, our affiliates, and our employees harmless from any claims, losses, or damages (including legal fees) arising from:
Your use of the Service.
Your violation of these Terms or applicable laws.
Your end-users’ data or interactions with the Service.
Your failure to obtain necessary consents.
13. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Disputes: Any disputes arising from these Terms or the Service will be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association. You waive the right to participate in class actions or class-wide arbitration.
Exceptions: We may seek injunctive relief in any court for intellectual property violations or urgent matters.
14. Miscellaneous
Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Changes: We may update these Terms with 30 days' notice (via email or the Site). Continued use after changes constitutes acceptance.
Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
Severability: If any provision is unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right does not waive it.
Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, internet outages).
